RESOLUTIONS FOR CONSTITUTIONAL AMENDMENTS

The object of the proposed amendment is to keep the functioning of the Board of Trustees and the Executive Committee of APSI separate, and to prevent the Board of Trustees being represented on the Executive Committee of APSI. The reason is that the Board of Trustees is in- tended to exercise financial control, including releasing of funds to APSI and the intermingling of the membership of the two bodies is likely to nullify the very object of having a Board of Trustees, and in any case to dilute its functioning materially and substantially. Article V1l B ( 7)

Old : The Executive Trustee would be an Ex-officio member of the Executive Council and in his absence could be represented at the meeting of the Council by his nominee from among the Board of Trustees.

NEW: No member of the Board of Trustees will be represented on the Executive Committee of the Association of Plastic Surgeons of India. If this resolution is passed it should take effect in retrospect and the existing representative of the Board of Trustees to vacate office on The Executive Committee immediately.

2. During APSICON'98 at Calcutta, the General Body had passed a resolution on the issue of quorum by amending Article Ill, No. 5 to ' Quorum for General Body Meeting shall be 60 members '. Following a legal opinion taken by the Association, this clause is found to be incomplete,. in respect that it doesn't allow for routine administrative functioning of the Association in the absence of quorum. Therefore, it has been decided to move this resolution once again by rewording it.

Article Ill, No. 5

Old :

Quorum for General Body Meeting shall be 20 members. If no quorum is present within 15 minutes of the time announced for the meeting, the meeting shall be adjourned for 1/2 an hour and held at the same venue thereafter whether the quorum is present or not.

Amended to :

Quorum for General Body Meeting shall be 60 members.

NEW :

Quorum for General Body Meeting shall be 60 members. If no quorum is present within 1 5 minutes of the time announced for the meeting, the meeting shall be adjourned for 1/2 an hour and held at the same venue thereafter whether the quorum is present or not, and this General Body shall only deal with routine and day to day matters and shall not deal with any matter related to the constitution of the Association or any other matter which basically affects the Association or its mernbers.in the event of any dispute as to what is the,important or basic matter affecting the Association or its members the decision of the next General Body Meeting, of which specific notice in this respect has been given, and to which a minimum quorum of 60 members is present will be final and binding and any resolution passed contrary there to shall be null and void.
